Julie E. Treumann

Julie is a partner in the Healthcare Department. With a background in corporate law, she concentrates her practice in healthcare transactions and corporate matters for clients in the healthcare industry. Julie is particularly interested in healthcare information technology including advising providers and information technology companies on software license and technology agreements for electronic health records, telemedicine and other healthcare-related technology. In addition, she updates clients on federal incentives for the adoption and meaningful use of certified electronic health record technology under the American Recovery and Reinvestment Act and HITECH Act. Julie is co-chair of the firm’s Wellness Committee.

Healthcare Transactions

• Representing an ambulatory surgery center joint venture in an investment offering to physicians.
• Representing primary care physicians in the separation of their practices from a larger physician group and the sale of their practices to an affiliate of a not for profit hospital.
• Representing an independent physician association in its conversion from a not for profit corporation to a for profit by means of a merger, including drafting of disclosure documents for the physician's receipt of shares in the for profit corporation.
• Reviewing physician agreements for various hospital clients.
• Representing a provider of gamma knife services in a corporate restructuring.
• Negotiating the purchase of a clinical laboratory business on behalf of a national publicly traded company and drafting corresponding asset purcahse agreement and related documents.
• Negotiating in connection with a stock purchase agreement on behalf of an employee assistance program (EAP) provider in its stock sale to a publicly traded EAP provider and drafting related documents.
• Managing due diligence and drafting asset purchase documents on behalf of not for profit Victory Memorial Hospital and St. Therese Medical Center in the $120 million sale of the hospitals to a for profit health system.
• Negotiating and drafting asset purchase agreement and related documents and managing due diligence on behalf of not for profit Victory Lakes Continuing Care Retirement Community in its sale to not for profit Franciscan Communities.
• Providing legal support and assistance to President and CFO of not for profit Galesburg Cottage Hospital in all aspects of the sale of the hospital to for profit Community Health Systems, including managing due diligence and coordinating legal response to real estate, environmental, employee benefits, and regulatory matters related thereto.
• Drafting disclosure schedules and providing legal support to a secular, not-for-profit hospital, West Suburban Hospital Medical Center, in connection with its change of control to a Catholic-sponsored system, Resurrection Health Care, including formation of a resultant “watchdog” foundation to enforce representations and covenants.
• Managing due diligence for not for profit Louis A. Weiss Memorial Hospital in the sale of the hospital to Vanguard Health Systems, Inc. and drafting related sale documentation.
• Reviewing due diligence for Round Table Healthcare Partners in connection with its $200 million acquisition of seven specialty medical and surgical device manufacturing corporations from The Marmon Group and drafting corporate governance and ancillary purchase documents pursuant thereto.

Information Technology

• Reviewing and advising on entry into software licensing agreements, both as licensee and as licensor.
• Drafting telemedicine provider agreements for the provision of behavioral health services and telemedicine system access license agreement.
• Drafting a master medical image management solutions agreement for the acquisition of computer hardware and software picture archiving and communications system (PACS) and installation, data migration and integration services to transfer and integrate data from legacy PACS system to new system.
• Reviewing and advising an independent physician association on electronic medical record agreements for licensing and implementation and establishing a health information exchange (HIE).
• Providing legal counsel to various companies on the development of master service agreements for information technology consulting. Entry into software licensing agreements, both as licensee and as licensor.

Various Corporate Matters

• Advising on formation of entities, redemptions of ownership interests and dissolutions for various providers and systems and drafting corresponding resolutions.
• Reviewing and advising on a wide array of contracts.
• Providing legal counsel to a pharmaceutical company on corporate governance matters relating to employee litigation, including the formation of a special committee of the board and its internal investigation and defense of allegations of wrongful termination and negotiating and drafting a settlement agreement.
