Jennifer R. Quinn

Jennifer concentrates her practice on mergers, acquisitions and divestitures, corporate finance, private capital transactions, and general business counseling.

Her recent experience includes:

  • Providing legal counsel in connection with mergers, stock and asset acquisitions and dispositions, and private offerings of securities.
  • Providing legal counsel in connection with establishing joint ventures.
  • Providing antitrust counsel, namely, in connection with Hart Scott Rodino compliance.
  • Providing legal counsel in connection with the documentation of a wide variety of agreements, including employment agreements, covenants not to compete, shareholder agreements, buy-sell arrangements, and distribution agreements.
  • Representing borrowers and lenders in loan transactions involving secured and unsecured, senior and subordinated, and convertible debt.
  • Providing legal counsel on a variety of intellectual property issues, such as trademark and copyright maintenance, protection, licensure, and compliance procedures.
  • Researching and advising clients on a broad range of legal and business matters.

Recent transactions include:

  • Representation of a consumer products company in its sale to a large private equity firm for $725 million.
  • Representation of an elevator manufacturing company in its ale to a publicly traded strategic buyer for $48 million.
  • Representation of a gourmet gift basket provider in its sale to a publicly traded strategic buyer for $38.25 million.
  • Representation of a technology development company in the sale of a 50% interest of its company from $80 million to a group of strategic investors in the dental industry.
  • Representation of a private equity firm in its $25 million acquisition of a molding company in the cosmetic packaging industry.
  • Representation of a national logistics company in a spin-off of its household and tradeshow moving division and subsequent divesture of its direct delivery division for $69 million.
  • Representation of a private equity fund in its $280 million acquisition of a leading national provider of commercial and residential insulation products and services and in the senior and mezzanine financing for the acquisition.
