Julie K. Seymour
Julie is a partner with Ungaretti & Harris LLP and a member of the firm's HealthCare and Public Finance groups. Her professional practice is concentrated in the areas of healthcare finance, banking and secured lending. She is regularly involved in tax-exempt bond financings, representing banks (as providers of liquidity and/or credit enhancement or direct lenders or purchasers of tax-exempt bonds), Section 501(c)(3) borrowers (including hospitals and health systems, long-term care providers and educational and cultural institutions), bond underwriters and issuers.
Since 1990, Julie has been involved in billions of dollars of tax-exempt bond financings, including fixed and variable rate structures, as well as secured and unsecured lending transactions. She regularly represents and counsels hospitals and health systems in the financing aspects of structuring merger and acquisition transactions and joint ventures. In addition, she assists clients in structuring their taxable and tax-exempt financing transactions, and negotiates and drafts documents in a manner that maximizes flexibility and protection for clients. Julie also regularly advises clients on ongoing compliance matters, including secondary market disclosure, Internal Revenue Service audits, change in use of bond-financed facilities, the impact of covenants on affiliation activity, and reporting requirements for the IRS Form 990, Schedule K.
Julie’s recent experience includes:
- Representing the largest Catholic healthcare system in Illinois in connection with the issuance of over $1 billion of tax-exempt bonds to refinance existing debt and to finance capital projects at the system's healthcare facilities.
- Representing a hospital provider in Indiana in connection with a tax-exempt bond issue to finance a replacement hospital.
- Representing various domestic, national and regional banks in connection with tax-exempt bond issues for healthcare providers located across the country.
- Analyzing and advising two major healthcare systems on the implications their tax-exempt bond covenants have on a potential merger or affiliation.
- Representing a healthcare system in connection with the amendment and restatement of their master trust indenture securing over $250 million in outstanding obligations.
- Representing national bond underwriters in connection with the issuance of tax-exempt bonds to finance the construction of replacement facilities for a stand-alone children's hospital and an academic medical center's women's hospital.
- Negotiating with tax-exempt bondholders to obtain a waiver of various financial covenant defaults by a health system.
- Assisting a large healthcare system in connection with an audit by the Internal Revenue Service of its outstanding bonds.
Presentations
Julie speaks regularly on tax-exempt finance and healthcare lending issues. She also is a regular panelist at seminars hosted by the National Association of Bond Lawyers (NABL) and currently is a member of the Steering Committee for NABL's annual Bond Attorneys' Workshop. She is also a guest lecturer for Loyola University Chicago School of Law's LLM in Health Law Program.
