Joseph K. Hasson

Joe’s practice is focused on mergers and acquisitions, corporate finance and intellectual property licensing. Joe is often engaged in leading acquisitions or dispositions in transactions in excess of $100 million. Joe has specialized expertise handling healthcare related M&A transactions. He also has extensive experience handling complex corporate finance transactions on the borrower’s side and on the lender’s side, including senior, mezzanine and/or equity financing transactions. Joe recently led a legal audit of the corporate compliance policies of a publicly traded company.

Health Care M&A Transactions

  • Representation of Fairview Ministries, Inc. in a bankruptcy Section 363 sale of the Fairview Village Continuing Care Retirement Community to Lifespace Communities.
  • Representation of Fairview Ministries, Inc. in a bankruptcy Section 363 sale of Crimson Pointe Assisted Living Facility to Senior Housing Properties Trust.
  • Representation of Iowa Health System in its acquisition of Methodist Health Services.  
  • Representation of Life Care Services, a national operator of continuing care retirement communities, in its acquisition of Wyndemere Retirement Community and Wynscape Nursing & Rehabilitation Center from Central DuPage Health and in its senior secured financing of the acquisition.
  • Representation of an Employee Assistance Program (EAP) provider in its stock sale to a publicly traded EAP provider.
  • Representation of Victory Memorial Hospital and St. Therese Medical Center in the $120 million sale of the hospitals to CHS/Community Health Systems.
  • Representation of Victory Lakes Continuing Care Retirement Community in its sale to Franciscan Communities.
  • Representation of MedAssist Holding, Inc., a portfolio company of RoundTable Healthcare Partners, a private equity fund, in its acquisition of a company providing outsource revenue cycle management services to the healthcare industry.
  • Representation of Galesburg Cottage Hospital in connection with the sale of the hospital to CHS/Community Health Systems.
  • Representation of RoundTable Healthcare Partners, a private equity fund, in connection with its acquisition of a leading manufacturer of pre-flushed syringes and the financing of the acquisition.
  • Representation of Roundtable Healthcare Partners in connection with its $200 million acquisition of seven specialty medical products manufacturing companies from the Marmon Group and in connection with the mezzanine and senior financing for the acquisition.
  • Representation of a private equity fund in the $65 million acquisition of a manufacturer of disposable gynecological products and in the senior and mezzanine financing of the acquisition.
  • Representation of Louis A. Weiss Memorial Hospital in the sale of the hospital to Vanguard Health Systems, Inc., the liquidation of the Hospital and the formation of a liquidating trust for the resolution of the remaining claims against the Hospital.
  • Representation of North Suburban Clinic, a multi-specialty physician practice group, in connection with the re-purchase of the physician practices from MedPartners.
