James C. Shanley
Jim’s practice focuses on federal, state and local taxation, with special emphasis on the tax treatment of business transactions, including mergers and reorganizations; the formation, syndication, and reorganization of partnerships and limited liability companies; asset sales and acquisitions; stock sales and purchases; executive compensation; “Golden Parachute” tax minimum procedures for corporate takeover targets and their executives; and planning to maximize use of credits and deductions.
Jim’s recent experience includes providing advice:

Regarding the reorganization of a tax-exempt hospital into a series of affiliated but separate and distinct entities, such as the parent holding corporation, the hospital operating unit, the real estate holding corporation, and the various departmental activities.

To foreign corporations regarding the most advantageous and tax-efficient structures for acquiring or organizing domestic business organizations.

To both employers and executives on the tax aspects of equity-based compensation (such as nonqualified stock options, incentive stock options, and restricted stock plans) and nonqualified deferred compensation (such as “top hat” plans) and related issues.

To corporate takeover targets, the acquiring entities, and the target executives regarding procedures designed to produce the maximum after-tax entitlement for the target executives at the lowest possible after-tax cost to the target and the acquirer. Articles published by Jim have appeared in the Journal of the American Bar Association and in other publications. He has lectured on various tax topics at bar association meetings and in other forums.
