Elizabeth A. Davis
Liz is a partner in the Corporate Group and is a member of the Energy and Clean Technologies and Land Use and Zoning subgroups. Liz focuses her practice on mergers, acquisitions and divestitures; private securities offerings; and general business counseling. Liz is also Co-Chair of the firm’s Summer Associate Committee.
Significant transactions in which Liz has taken part include:
- The acquisition by a private equity group of the assets of a point-of-sale systems solutions business.

The acquisition of a revenue cycle management entity and the corresponding restructuring of the platform company.

The structuring and documenting of a private offering in connection with the establishment of a psychiatric hospital.

Acting as local counsel for federal and state regulatory issues to a $7 billion international investment fund.

The sale of the assets of the consulting division of a technology company to the U.S. subsidiary of an Indian public company.

The $62 million sale of oil and gas assets in Lea County, New Mexico and Yoakum County, Texas to a multi-billion strategic investor.

Representation of a company in connection with a $100 million exchange offer (pursuant to which hundreds of individual investors exchanged their oil and gas interests for company units), a $40 million senior secured credit facility and a $20 million subordinated secured term loan.

Representation of a wind and solar energy company in connection with the drafting and negotiation of general corporate documents including Consulting Services Agreements, Engineering Services Agreements and Nondisclosure Agreements.

The sale by a technology investment company of a 50% company interest for $80 million to a group of strategic investors in the dental industry.
