David R. Brown

David's areas of practice include general corporate law, mergers and acquisitions, securities law and finance. He serves domestic and foreign clients ranging from middle-market and large firms to emerging growth companies and start-ups, in diverse fields including private equity, high technology, renewable energy, manufacturing, and derivatives trading. He also regularly represents banks in establishing and growing lending relationships.

David works closely with clients to: raise capital; grow through acquisitions, mergers and joint ventures; secure relationships with executives, employees, vendors and suppliers; protect intellectual property; and effect strategic changes. In each case, he strives to achieve a thorough understanding of the relevant business concerns and provide efficient and pragmatic legal solutions.

Notable transactions in which David has taken part include:

  • The $72,000,000 refinancing of a Caribbean resort, hotel and casino project;
  • The sale of an electronic check collection firm to a private equity fund;
  • The acquisition of a national long-term care consulting firm by its management;
  • The establishment of a presence in the U.S. for a privately-held European supplier to major domestic automakers;
  • The restructuring and private equity financing of a chain of radio stations in the Upper Midwest;
  • The stock purchase by a multinational buyer group of a nationally-known women’s apparel retailer via the Section 363 bankruptcy auction process;
  • The restructuring of a family’s investments of over $250,000,000 in the U.S. and Caribbean; and
  • The formation and financing of a derivatives trading firm.

While a law student at Chicago-Kent College of Law, David represented the school at numerous moot court competitions, including the 2000 Willem C. Vis International Commercial Arbitration Moot at the Universität Wien and the 1999 Canada-United States Law Institute Niagara International Moot Court Competition at the University of Toronto.

David is also active in a number of professional and charitable groups.
