Brian E. Krob

Brian is a partner in the Corporate, Securities & Finance Department. He specializes in mergers and acquisitions, with a focus on private equity transactions as well as corporate finance, and general corporate representation.

His recent experience includes:

• Representing the owners of a multi-national medical device company in its sale to a Canadian-based medical device company;
• Representing private equity firm in its investment in a multi-national medical device manufacturer;
• Representing an owner-founder in the sale of his stock to an ESOP;
• Representing private equity clients in the acquisition of portfolio companies and in add-on acquisitions and related financings;
• Representing medical information technology company in its merger with a competitor;
• Assisting in the formation of numerous investment funds focused on real property opportunities. These transactions involve structuring the fund, preparation of a private placement memorandum, and negotiation of the fund’s limited partnership agreement; and
• Providing day-to-day counseling to clients on general corporate issues, including contracts, employment agreements and equity compensation arrangements.
